Terms of Service

1. Services & Deliverables

VyapAI provides enterprise-grade, self-hosted artificial intelligence systems. Our software products (such as EnginAIr, AmicusAI, Ortho-Match, and VDR Analyzer Core) are delivered as clean source code, deployment assets (Docker compose setups, Kubernetes configurations), and complete system documentation. All deliveries are made directly to customer-controlled environments.

2. Licensing and IP Ownership Transfer

Unless explicitly negotiated otherwise in writing through a custom Master Services Agreement (MSA) or Statement of Work (SOW):

  • Intellectual Property Transfer: Upon full execution of the corresponding commercial agreement and receipt of payment, we grant a full, perpetual, non-exclusive, worldwide, transferable license to run, modify, expand, and self-host the delivered codebase within your organization.
  • Zero SaaS Lock-in: VyapAI systems are not subscription-based cloud platforms. Customers retain full control and absolute ownership of the localized runtimes and models.

3. Data Sovereignty & Customer Responsibilities

Because VyapAI systems are designed to deploy on-premise or within your private air-gapped environment, you are solely responsible for:

  • Acquiring and configuring the necessary GPU/CPU hardware and storage infrastructure.
  • Ensuring appropriate compliance (including HIPAA, GDPR, or financial regulations) for data processed by your deployments.
  • Securing and maintaining your deployed networks and API endpoints.

4. Disclaimer of Warranties & Limitation of Liability

Our open-source distributions (e.g. Legal Assistant 3B model) are provided "as is" without warranty of any kind. For enterprise deployments, warranties, support parameters, and SLAs are governed strictly by the execution of a formal MSA. VyapAI shall not be liable for any indirect, special, incidental, or consequential damages resulting from system configuration, local inference outputs, or hardware downtime.

5. Custom Agreements

These terms govern general inquiries and website interaction. Enterprise licensing, customized model training pipelines, and active integration support agreements require a separate executed contract specifying individual statements of work.
